Service User Agreement


1. GENERAL INFORMATION

In this Service User Agreement, unless the context otherwise requires:
"Agreement" shall means the SME e-ClinicTM Service literature on the website, and the Terms and Conditions herein.
"TEIAN" shall means the company Teian Consulting International Pte Ltd who is providing the SME e-ClinicTM Service.
"USER" shall means such a person or organisation as may on their own accord request for SME e-ClinicTM Service(s) from TEIAN.
"Service(s)" means SME e-ClinicTM Service(s) provided by TEIAN.
"Consultancy Advice" means the contents of the advice given by TEIAN based on the data provided by the USER.
"Content" shall means all information, data, text, photographs, graphics, messages or other materials transmitted by the USER in relation to this Service.

This Service User Agreement constitute the entire agreement between the USER and TEIAN, and govern the USER's use of the Service, superceding any prior agreements between USER and TEIAN. The USER may also be subject to additional terms and conditions that may apply when using affiliate services, third-party content or third-party software. The Service User Agreement and the relationship between the USER and TEIAN shall be governed by the laws of the Singapore Government.

2. ACCEPTANCE OF TERMS
Welcome to SME e-ClinicTM! By using the SME e-ClinicTM Service(s) the USER is deemed to accept the terms and conditions as stipulated in this Service User Agreement.

TEIAN provides this service to the USER, subject to this Service User Agreement and the following Terms and Conditions, which may be updated by TEIAN from time to time without notice. In addition, when using the SME e-ClinicTM service, the USER and TEIAN shall be subject to any posted terms and conditions applicable to such services. All such Terms and Conditions are hereby incorporated for reference in this document.

3. DESCRIPTION OF SERVICE
The USER shall be responsible for obtaining access to the SME e-ClinicTM Service and that access may involve third-party fees (such as Internet service provider or airtime charges). The USER is responsible for those fees. In addition, the USER must provide and are responsible for all equipment necessary to access the Service.

4. USER REGISTRATION OBLIGATIONS AND RESPONSIBILITIES
By using the Service, the USER agrees to: (a) provide true, accurate, current and complete information about the problems, and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If the USER provides any information that is untrue, inaccurate, not current or incomplete, TEIAN upon reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, TEIAN will maintain the rights to suspend, terminate or refuse any and/or all current or future use of the Service.

The USER understands that all information, data, text, photographs, graphics, messages or other materials (Contents), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Contents originated. This means that the USER, and not TEJAN, is entirely responsible for all Contents that the USER upload, post, email, transmit or otherwise make available via the Service.

The USER agree not to use the Service to:

* upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;

* harm minors in any way;

* impersonate any person or entity, including, but not limited to, TEIAN or falsely state or otherwise misrepresent your affiliation with a person or entity;

* forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service;

* upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under non-disclosure agreements);

* upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;

* upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail", "chain letters", "pyramid schemes", or any other form of solicitation, except in those areas that are designated for such purpose;

* upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

* interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;

* intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the Singapore Government.

* "stalk" or otherwise harass another; and

* collect or store personal data about other users.

TEIAN does not control the integrity and security of the Content posted via the Service, as such, TEIAN shall not be responsible for any loss, thief, exposure of an unauthorized third- party, delays in delivery, integrity or quality of such Content as received by TEIAN.

5. LIMITATION OF TEIAN'S OBLIGATIONS AND LIABILITIES
As this Service is provided free of cost, TEIAN reserve the rights to suspend, terminate or refuse such services without giving any reasons, advance warnings or reply, even if the USER's request for Service had been formerly submitted by the USER through the system. The Consultancy Advice provided by TEIAN is on a limited capacity and will be one-off in nature. The USER shall not negotiate for more in-depth Consultancy Advice for the same request. Of course more detailed Consultancy Advice can be obtained through a separate commercial agreement.

TEIAN provides this service on a goodwill basis and is non chargeable in nature. The USER acknowledges and agrees that TEIAN makes no representation or warranty as to any benefit which may accrue to the USER under or in connection with this Agreement or Consultancy Advice or in connection with the provision of the Service(s). By using the Service, the USER understands and agrees that:

* The USER of the Service is at the USER's own risk. The Service is provided on an "as is" and "as available" basis. TEIAN expressly disclaims all warranties of any kind, whether express or implied

* TEIAN makes no warranty that (a) the service will meet the USER's requirements, (b) the service will be uninterrupted, timely, secure, or error free, (c) the results may be obtained from the use of the Service will be accurate and reliable, (d) the quality of any products, services, information, or other material obtained through this service will meet your expectations, and (e) any errors in the software will be corrected.

* Any material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material.

The USER understands that by using the Service, the USER may be exposed to Consultancy Advice that in some way may be offensive or objectionable. Under no circumstances will TEIAN be liable in any way for any Consultancy Advice, including, but not limited to, for any errors or omissions in any Consultancy Advice, or for any loss or damage of any kind incurred as a result of the use of any Consultancy Advice posted, emailed, transmitted or otherwise made available via the Service.

The USER expressly understand and agree that TEIAN shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, resulting from: (a) the use or the inability to use the Service; (b) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service; (c) unauthorized access to or alteration of your transmissions or data; (d) statements or conduct of any third party on the Service; or (e) any other matter relating to the Service.

6. SME e-CLINICTM PRIVACY POLICY
TEIAN does not rent, sell, or share confidential information about the USER with other parties or non-affiliated companies and will only use the information for providing the Service the USER requested. When TEIAN obtain the USER's permission, or under the following circumstances:

* TEIAN shall provide the information to trusted partners who work on behalf of or with TEIAN under non-disclosure or confidentiality agreements. These parties may use the USER's confidential information to help TEIAN provide the Service to the USER. However, these appointed parties do not have any independent rights to further share the information;

* TEIAN shall respond to subpoenas, court orders, or legal process, or to establish or exercise our legal rights or defend against legal claims (if any);

* When TEIAN believe it is necessary to share information in order to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of TEIAN terms and conditions for use, or as otherwise required by law.

* TEIAN shall transfer information about the USER if TEIAN is acquired by or merged with another company. In this event, TEIAN will notify the USER before information about USER is transferred and becomes subject to a different privacy policy.

* Changes to this Privacy Policy. TEIAN may update this policy. All notification by TEIAN will be displayed prominently on TEIAN's website. The USER shall be responsible to visit the website on their own accord to get updated on the changes from time to time.

The USER acknowledge and agree that TEIAN may preserve the Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Service User Agreement; (c) respond to claims that any Content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of TEIAN, its users and the public.

The USER understand that the technical processing and transmission of the Service, including the USER's Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

7. SPECIAL ADMONITIONS FOR INTERNATIONAL USE
Recognizing the global nature of the Internet, the USER agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, the USER agree to comply with all applicable laws regarding the transmission of technical data exported from Singapore or the country in which you reside.

8. INDEMNITY
The USER agree to indemnify and hold TEIAN, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submited, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the Service User Agreement, or your violation of any rights of another.

9. NO RESALE OF SERVICE
The USER agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

10. MODIFICATION TO SERVICE
TEIAN reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) without notice. The USER agree that TEIAN shall not be liable to the USER or to any third-party for any modification, suspension or discontinuance of the Service.

11. TERMINATION
The USER agree that TEIAN, in its sole discretion, may terminate the USER's use of the Service, and remove and discard any Content within the Service, for any reason, without any limitation, for lack of use or if TEIAN believes that the USER have violated or acted inconsistently with the spirit of the Service User Agreement. TEIAN may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, without notice. The USER agree that any termination of access to the Service under any provision of this Service User Agreement may be effected without prior notice, and acknowledge and that TEIAN may immediately deactivate or delete the USER's account and all related information and files in the said account and/or bar any further access to such files or the Service. The USER also agree that TEIAN shall not be liable to the USER or any third-party for any termination of the USER's access to the Service.

12. LINKS
The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because TEIAN has no control over such sites and resources, the USER acknowledge and agree that TEIAN is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. The USER shall further acknowledge and agree that TEIAN shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such contents or information, goods or services available on or through any such site or resource.
